1. The securities beneficially owned represent 100% of the common interests of the Issuer held directly by Fortress Worldwide Transportation and Infrastructure General Partnership. Fortress Worldwide Transportation and Infrastructure General Partnership is a majority-owned subsidiary of Fortress Transportation and Infrastructure Investors LLC.

Remarks:

This Form 3 is being filed in connection with the Securities and Exchange Commission's declaration of effectiveness of the Registration Statement on Form 10 of FTAI Infrastructure LLC (the "Issuer"), which describes the separation of the Issuer from Fortress Transportation & Infrastructure Investors LLC.
